White-Label Software Licensing Disclosures

Krusam develops and markets both custom-engineered applications and pre-built, configurable software platforms (including enterprise ERP systems, CRM platforms, HRMS solutions, and Real Estate management platforms).

Crucial Disclosure Regarding Software Rights & Source Code

1. No Implied Rights: Viewing product demos, architectural descriptions, price matrices, or feature breakdowns on this website does not constitute a software license, source code grant, resale right, or distribution permission.

2. Per-Agreement Governance: All white-label software licensing, source code delivery, modification privileges, branding rights, deployment environments (cloud-hosted vs. self-hosted on client infrastructure), sublicensing boundaries, and redistribution rights are defined exclusively per formal, written agreement executed by authorized officers of Krusam Technologies Pvt. Ltd.

3. Product-Specific Variance: Rights vary by platform and commercial tier. For example, some offerings provide a hosted white-label SaaS subscription with client branding, whereas others include full perpetual source-code licenses with modification and on-premise deployment rights. The exact scope is governed solely by your specific Master Services Agreement (MSA) and Statement of Work (SOW).

4. Unauthorized Use Prohibited: Extracting, decompiling, mirroring, cloning, or distributing any proprietary software modules, API schemas, or UI templates previewed on this site without an executed agreement constitutes copyright infringement under the Copyright Act, 1957 (India) and international treaties.

Quotations, Proposals & Scoping Estimates

Any estimates, pricing calculators, initial consultations, or proposals shared via our website, emails, or discovery sessions are preliminary and non-binding.

  • Binding Agreement: Commercial engagements become binding only upon mutual execution of a formal Statement of Work (SOW) detailing precise deliverables, sprint schedules, milestones, and payment schedules.
  • Change Orders: Work outside the agreed SOW requires a formal change order process with mutual sign-off on cost and delivery schedule adjustments.
  • Third-Party Dependencies: Third-party API licensing, cloud hosting fees (e.g., AWS, Azure, Supabase), and SMS/WhatsApp gateway charges are billed directly by respective providers unless bundled into a managed agreement.

Mutual Confidentiality & Non-Disclosure

Both parties agree that non-public business strategies, technical designs, user stories, commercial rates, and proprietary data shared in connection with prospective projects will be maintained in strict confidence and protected with at least reasonable care.

Krusam routinely executes bilateral Non-Disclosure Agreements (NDAs) prior to receiving confidential technical architecture, database schemas, or proprietary software codebases for evaluation.

Disclaimers & Limitation of Liability

This website and its informational materials are provided on an “as is” and “as available” basis without warranties of any kind, whether express, statutory, or implied.

To the maximum extent permitted by applicable Indian law, Krusam Technologies Pvt. Ltd., its directors, officers, employees, and agents shall not be liable for any indirect, incidental, punitive, special, or consequential damages (including loss of profits, revenue, data, goodwill, or business interruption) arising from:

  • Your access to, reliance upon, or inability to access this website;
  • Any temporary interruption, server latency, or DNS connectivity failure;
  • Decisions made based on general marketing or informational blog publications;
  • Unauthorized third-party interception of transmission outside our direct cloud controls.

For active clients with executed written agreements, our total commercial liability is governed strictly by the liability caps defined in that specific contract.

Governing Law & Dispute Resolution

These Terms of Service, their interpretation, and any disputes arising out of or related to website usage or commercial engagements shall be governed exclusively by the laws of the Republic of India, without regard to conflict of law principles.

The parties irrevocably submit to the exclusive jurisdiction of the competent courts located in Hyderabad, Telangana, India for all legal proceedings or judicial relief.
